1. Who we are
Digital Madhav AI Company (OPC) Private Limited — a One Person Company incorporated under § 2(62) of the Indian Companies Act, 2013, with registered office in Ahmedabad, Gujarat, India (incorporation in progress) — operates the website digitalmadhav.ai and delivers all services described on it. As an OPC, the company has Madhav Anadkat as its sole shareholder and director, with a nominee on file with the Ministry of Corporate Affairs to ensure legal continuity. Until incorporation completes, the same services are delivered under the proprietorship of Madhav Anadkat at the same address. Both forms are bound by these Terms.
In these Terms, “we”, “us” and “our” mean Digital Madhav AI Company (OPC) Private Limited; “you” and “your” mean the person or organisation accepting these Terms. “Madhav” refers to the founder, Madhav Anadkat, who personally delivers most engagements.
2. What we do
We offer three lines of service, all visible on the site:
- Build — the 1-Week SaaS Live Challenge, a live cohort that takes solo founders from zero to a shipped, paying product in seven evenings.
- Run — paid 1:1 mentorship calls (15 or 30 min), talks and workshops for corporate audiences, conferences, and campuses.
- Govern — fractional CAIO and enterprise consulting engagements: architecture review, AI governance, board-paper development, multi-region rollout.
We also publish books and coursesfrom time to time. These Terms cover all of it. Where a specific engagement is governed by a separate signed agreement (typically for enterprise consulting), that agreement controls and these Terms apply only to whatever it doesn’t cover.
3. Eligibility
You must be at least 18 years old, or the legal age of majority in your jurisdiction (whichever is higher), and have legal capacity to enter into a binding contract. If you are enrolling on behalf of an organisation, you confirm that you have authority to bind that organisation to these Terms.
We don’t knowingly serve people who are subject to sanctions imposed by India, the United Nations, the United States, the United Kingdom, or the European Union. If we learn that we’ve enrolled a sanctioned person, we’ll terminate the engagement and refund any unused fees.
4. Your account & access
You don’t need an account to read the site. You do need to provide accurate contact details when you fill the qualifier form, book a call, or enrol in a cohort. Material inaccuracies (fake names, disposable emails, false company claims) are grounds for us to cancel the engagement and refuse a refund.
For cohort enrolment, the Skool community access we send after payment is personal — you may not share it, transfer it to a colleague, or post the curriculum publicly.
5. Acceptable use
While engaging with us, you agree not to:
- Record, screenshot, or transcribe any live cohort session, mentorship call, or workshop without our prior written consent. We record sessions ourselves where appropriate and share clean cuts when the recording is part of the deliverable. (See the no-recording clause in the Cohort Terms.)
- Reverse-engineer, scrape, or train any model on the site content or our deliverables without a separate written licence.
- Use the site or any service to harass, defame, or harm any person, or to violate any law applicable to you.
- Probe, scan, or test the site’s vulnerability without our written consent. Responsible disclosure is welcome — email hello@digitalmadhav.ai.
- Misrepresent your relationship with us, claim Madhav endorses you, or use our marks except as expressly permitted.
6. Payments
Payment, where applicable, is handled by Razorpay under their terms; we never see your card number.
Fees are quoted directly on a scoping call.
GST. Once Digital Madhav AI Company (OPC) Private Limited is registered for GST in India, prices remain quoted inclusive or exclusive of GST as labelled, and a tax invoice is issued by Razorpay. Until then, the proprietorship issues a non-GST invoice.
Invoicing. An invoice is issued on the terms agreed on your scoping call, with any card-currency equivalent printed on the receipt for reconciliation.
7. Refunds
The full policy lives at /refund and is incorporated into these Terms by reference. Headline: we don’t do money-back refunds — we do a ship guarantee for the SaaS Challenge, a refund-if-not-fit window for mentorship calls, and a force-majeure carve-out where we cancel.
8. Cohorts & bookings
Live cohorts (today: the SaaS Challenge) carry their own additional terms — attendance, no-recording, code of conduct, community access. Those live at /cohort-terms. By enrolling in a cohort you agree to both these Terms and the Cohort Terms.
Mentorship and talk bookings happen via Cal.com. Your slot is confirmed when payment captures and the calendar event lands in your inbox. Reschedules are free with at least 24 hours notice; reschedules with less than 24 hours notice or no-shows are non-refundable per the refund policy.
9. Intellectual property
Site & deliverables. Everything on digitalmadhav.ai — copy, design, brand, code, training material, written deliverables — is owned by us or our licensors and is protected by Indian and international copyright. You may quote short passages (under 50 words) with attribution and a link back. You may not republish, train models on, or commercialise any of it without a separate written licence.
What you ship in a cohort.The SaaS product you build during the SaaS Challenge is yours. We claim no IP in it. We do reserve the right to anonymously reference the product in our marketing (“Cohort 03 founder shipped a vertical-AI tool for fashion retail”) unless you ask us in writing not to.
Confidential business inputs. Any confidential material you share with us during a consulting engagement remains yours. We use it only to deliver the engagement, never train external models on it, and destroy it (or hand it back) on request after the engagement ends.
10. Confidentiality
We treat as confidential any non-public information you mark as confidential, or that any reasonable person would understand to be confidential, for two years after the engagement ends — without need for a separate NDA. We’re happy to sign a mutual NDA on your paper for enterprise engagements; ask for it before sharing architecture specifics.
Confidentiality runs both ways. What you hear inside a cohort (what fellow founders are building, who they’re selling to, how much they’ve raised) stays inside the cohort. See the Cohort Terms for the founder-confidentiality clause that applies to every cohort participant.
11. Warranties (and what we don’t promise)
We warrant that we’ll deliver our services with the care and skill reasonably expected of a senior, full-time practitioner in our field. We don’t warrant any specific business outcome. The site is provided “as is”; we don’t warrant that it will be error-free, uninterrupted, or free of every conceivable security vulnerability. We patch what we find.
Nothing on the site is investment, legal, tax, or medical advice. AI architecture or governance recommendations are opinions based on the information you share with us; you are responsible for your own implementation, regulatory compliance, and risk management.
12. Limitation of liability
To the maximum extent permitted by Indian law, our total aggregate liability to you for any claim arising out of or in connection with these Terms or any service we deliver is capped at the lesser of (a) ₹2,00,000 (two lakh rupees)" # /terms § 12 liability cap or (b) the total fees you paid us in the twelve months preceding the event giving rise to the claim.
We are not liable for any indirect, incidental, consequential, special, or punitive damages — including lost profits, lost data, business interruption, or reputational harm — even if we’ve been advised of the possibility. This cap and carve-out apply across contract, tort (including negligence), statute, or any other theory of liability.
Nothing in these Terms excludes liability that cannot be excluded under Indian law — including fraud, gross negligence, or wilful misconduct.
13. Indemnity
You agree to indemnify us against any third-party claim arising from (a) your breach of these Terms, (b) your misuse of any service or deliverable we provide, or (c) any content or material you give us that infringes a third party’s rights. We’ll notify you promptly of any such claim and let you control the defence with our cooperation.
14. Force majeure
Neither party is liable for failure or delay in performance to the extent caused by events beyond their reasonable control — natural disasters, war, civil unrest, government action, internet or power outages, pandemic, or major third-party platform failure. The affected party will give prompt notice and use reasonable efforts to resume performance. Cohort cancellations on our side under force majeure are governed by the relevant section of the refund policy.
15. Termination
We may suspend or terminate your access to the site or any service immediately if you materially breach these Terms, attempt to harm us or another visitor, or behave in a way that disrupts a cohort, call, or workshop. Where termination is for cause, no refund is due. Where termination is by us without cause, the refund policy applies.
You may terminate by stopping use of the site. Live engagements (cohorts, retainers) terminate per the schedule in the relevant engagement letter or these Terms, whichever is more specific.
16. Governing law & disputes
These Terms are governed by the laws of the Republic of India, without regard to conflict-of-laws rules. The courts of Ahmedabad, Gujarat have exclusive jurisdiction, subject to the arbitration clause that follows.
Any dispute arising out of or in connection with these Terms is referred to and finally resolved by arbitration under the Indian Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed by mutual agreement (failing which, by the President of the Indian Council of Arbitration). The seat of arbitration is Ahmedabad, Gujarat, India; the language is English. The arbitral award is final and binding.
17. Changes to these Terms
We may update these Terms when our services change or when our lawyer asks us to. The “Last updated” date at the top of the page changes whenever we ship a substantive edit. For material changes (anything that reduces your rights), we’ll email everyone with an active engagement at least 14 days before the change takes effect.
